NOTICE OF INTENTION TO MAKE DISPOSITION OF
PORTION OF MUNICIPAL ELECTRIC PLANT
Pursuant to O.C.G.A. §§ 36-37-7 and 36-37-8, the City of Dalton, acting by and through the Board of Water, Light and Sinking Fund Commissioners d/b/a Dalton Utilities, hereby provides notice of its intent to dispose of a portion of the electric plant it operates. The terms and general conditions of the sale are as follows:
Under an Agreement of Exchange with Georgia Power Company, Dalton proposes to transfer and convey to Georgia Power Company all of its right, title and interest in, and to certain real and personal property, including tracts or parcels of land consisting of a (1) strip of land upon which is located the Dalton 28528 - Antioch Road 46kV transmission line and all poles, supporting structures, towers, equipment, hardware, wires, easement rights, rights of way and all other tangible personal property, fixtures and interests in real estate affixed, attached, appurtenant or directly relating to, or located on, or on which are located the Dalton 28528 - Antioch Road transmission line; (2) strip of land upon which is located the Nelson 058738 - Georgia Marble 46kV transmission line and all poles, supporting structures, towers, equipment, hardware, wires, easement rights, rights of way and all other tangible personal property, fixtures and interests in real estate affixed, attached, appurtenant or directly relating to, or located on, or on which are located the Nelson 058738 - Georgia Marble 46kV transmission line; (3) strip of land upon which is located the Cartersville - Bliss & Laughlin 46kV transmission line and all poles, supporting structures, towers, equipment, hardware, wires, easement rights, rights of way and all other tangible personal property, fixtures and interests in real estate affixed, attached, appurtenant or directly relating to, or located on, or on which are located the Cartersville - Bliss & Laughlin 46kV transmission line; and (4) strip of land upon which is located the Pettit Creek - Cartersville #6 46kV transmission line and all poles, supporting structures, towers, equipment, hardware, wires, easement rights, rights of way and all other tangible personal property, fixtures and interests in real estate affixed, attached, appurtenant or directly relating to, or located on, or on which are located the Pettit Creek - Cartersville #6 46kV transmission line (collectively, the “Dalton Transmission Facilities”).
In exchange, Dalton would receive from Georgia Power Company certain real and personal property, including tracts or parcels of land consisting of a (1) strip of land upon which is located the Oostanaula-Pinson 115kV transmission line and all poles, supporting structures, towers, equipment, hardware, wires, easement rights, rights of way and all other tangible personal property, fixtures and interests in real estate affixed, attached, appurtenant or directly relating to, or located on, or on which are located the Oostanaula-Pinson 115kV transmission line; (2) a strip of land upon which is located the Pinson 028108-Adairsville 115kV transmission line and all poles, supporting structures, towers, equipment, hardware, wires, easement rights, rights of way and all other tangible personal property, fixtures and interests in real estate affixed, attached, appurtenant or directly relating to, or located on, or on which are located the Pinson 028108-Adaisville 115kV transmission line; and (3) strip of land upon which is located the Oostanaula 193328-NGEMC Butler 115kV transmission line and all poles, supporting structures, towers, equipment, hardware, wires, easement rights, rights of way and all other tangible personal property, fixtures and interests in real estate affixed, attached, appurtenant or directly relating to, or located on, or on which are located the Oostanaula 193328-NGEMC Butler 115kV transmission line (collectively, the “Georgia Power Transmission Facilities”).
In addition, to equalize the value of the facilities, which are currently valued at One Million Nine Hundred Sixteen Thousand Four Hundred Fifty-Six Dollars ($1,916,456) for the Georgia Power Transmission Facilities and One Million Seven Hundred Seventy-Two Thousand Five Hundred Fifty-Nine Dollars ($1,772,559) for the Dalton Transmission Facilities, but are subject to a modest modification because the parties would actually transfer at the book cost of such facilities determined as of the date of closing. Dalton would make an equalization payment to Georgia Power Company of One Hundred Forty-Three Thousand Eight Hundred Ninety-Six Dollars ($143,896), or such amount equaling the difference in value of the facilities as adjusted through the date of closing; provided however, if the equalization payment exceeds $250,000, portions of the Georgia Power Transmission Facilities will be removed from the transaction in order to decrease the exchange value of the Georgia Power Transmission Facilities until the equalization payment is less than or equal to $250,000.00.
Copies of the complete description of the property to be exchanged and the proposed transaction are available for inspection at the offices of Dalton Utilities, 1200 V.D. Parrott Parkway, Dalton, Georgia.
